You are responsible for maintaining the confidentiality of your username and password and are fully responsible for all activities that occur under your username and password. You also agree that you will provide truthful and accurate information during the registration process. We may refuse to grant you a particular username for any reason, including, without limitation, if we have reason to believe that such username impersonates someone else, is protected by trademark or other proprietary rights, or is vulgar or otherwise offensive.
    3. Storing Credentials. The Services may allow you to store your login credentials in your web browser so that you can be automatically logged in each time you access the Services. If someone else has access to your computer or web browser, the automatic login feature will allow that person to have access to your account. YOU ACCEPT RESPONSIBILITY FOR ALL MOBILE PROVIDER FEES.

  5. PRODUCT ORDERS
    1. General. This Section 5 of the Agreement governs your purchase of third party products (“Products”) through the Services. Our Services may be limited or not available at all in some places due to local law or other restrictions.
    2. Orders. All orders for Products (each, an “Order”) placed by you are subject to our acceptance. All Orders shall, at a minimum, identify the Products purchased, quantities, price, and taxes. We reserve the right to cancel or refuse any Order for back orders, inventory availability, or any other reason at any time prior to shipment, including after an Order has been submitted, whether or not the Order has been confirmed. We may attempt to contact you if all or a portion of your Order is cancelled, or if additional information is needed to complete and accept your Order.
    3. Prices. The prices of the Products are those prices specified on the Services and in the Order. All Products offered via our Services are subject to availability. Prices for the Products are subject to change without notice at any time.
    4. Payment. To purchase a Product, you will be required to provide information regarding your credit card or other payment instrument. You represent and warrant to Pack-n-Tape that such information is true and that you are authorized to use the payment instrument. You hereby authorize Pack-n-Tape to bill your payment instrument in accordance with the Product you are purchasing. If any bank or other financial institution refuses to honor any payment of yours, we may charge you a fee up to the maximum amount permitted under applicable law. By providing a credit card or other payment method accepted by Pack-n-Tape (“Payment Method”), you may authorize Pack-n-Tape to keep such Payment Method on file and charge you the fees, charges, or other amounts related to your Order. If you want to use a different Payment Method than the one you signed up to use during registration, or if there is a change in your credit card validity or expiration date, you may edit your Payment Method information by logging in to your account and viewing your account details or contacting us at customerservice@pack-n-tape.com. If your Payment Method expires and you do not edit your Payment Method information or cancel your account, you authorize us (or our third party service providers) to charge you for any Product purchases, and you will remain responsible for any uncollected amounts.
    5. Billing Details.  Please contact us if you would like to receive more detailed account history or billing information, if you believe there are any billing errors, or if you have any other questions related to your account history or bill. You must notify us at customerservice@pack-n-tape.com or change your information via your online account immediately in the event of any change in your name, billing address, service address, email address, telephone number, credit or debit card, or other account information. You can dispute your account history or bill by contacting us at customerservice@pack-n-tape.com. Unless otherwise provided by law, you must still pay any disputed charges until the dispute is resolved.
    6. Taxes. As applicable, we will include estimated shipping costs, duties, and taxes including federal, state and local sales, excise and value added, goods and services taxes, and any other taxes in your Order. You are responsible for, and agree to pay, all taxes, fees, and surcharges set by any governmental agency or taxing authority. You agree to indemnify and hold Pack-n-Tape harmless for any liability for tax in connection with the sale or a Product.
    7. Delivery and Title. Pack-n-Tape ships within the lower forty-eight (48) states.  When Product is available, ground orders typically ship after a three (3) business day warehouse processing time. Air orders typically ship same day if orders are entered by 11:00am Mountain Standard Time. If you are shipping to a new address, please allow one (1) day extra for ship-to account setup.  These are estimates and could change if special circumstances prevail. Pack-n-Tape does not guarantee shipping or delivery times. Pack-n-Tape is not liable for delays in delivery or for failure to perform due to causes beyond its reasonable control of the carrier, nor shall the carrier be deemed an agent of Pack-n-Tape. A delayed delivery of any part of an Order does not entitle you to cancel other deliveries. You must notify Pack-n-Tape within fourteen (14) days of receiving a Product if there is a shipping error. You are responsible for providing correct shipping address information. If an Order is shipped to an incorrect address provided by you, you take full responsibility to retrieve the package or will be responsible for the full cost of the items shipped. You must accept delivery of an Order from the carrier. If shipment is refused, no credit will be given and you will remain responsible for the value of the Products within the Order.  If you believe the Order was placed in error, or you no longer need the Order, you must accept the order and request an RMA (defined in Section 5.8,m below). If you choose to use your FedEx or UPS number, Pack-n-Tape is not responsible for bundling boxes to reduce shipping cost. Bundling boxes to reduce shipping cost is purely discretionary by Pack-n-Tape or the shipper.
    8. Returns; Exchanges; and Refunds. You must notify Pack-n-Tape of your intent to return or exchange a Product within fourteen (14) days of receipt. All returns require a Return Merchandise Authorization (“RMA”) number, which will be provided to you by Pack-n-Tape. Returns cannot be processed without an RMA number. When returning Products, Pack-n-Tape strongly recommends the use of a carrier that can track packages. You assume responsibility for insuring the returned Products. Products must be returned in "as new" condition in the original packaging and have all accessories, blank warranty cards, and user’s manuals. No refunds will be issued for Products that have been used or are otherwise not in resalable “as new” condition. A restocking fee will apply to all returns. The minimum restocking fee is twenty-five (25%) percent; however, the precise value may vary depending on the item, manufacturer policies, and circumstances of the return. Return shipping is at your expense. No returns are accepted for Products that have been shipped outside the United States of America, regardless of circumstances. If you wish to return a Product that is classified as hazardous by a carrier, you are responsible for additional charges or accommodations to return the Product. If the Product was sent in error by Pack-n-Tape will be responsible for charges related to returning the Product.
    9. Non-Cancelable and Non-Returnable Items. All sales of made-to-order Products are final. Only stock Products are returnable depending on manufacturers policy. Once you submit an Order it may not be cancelable. If the Order cannot be canceled then you must receive shipment and follow our return policy (as described in Section 5.8 above). If the Order can be cancelled a six-percent (6%) fee may be charged to the Payment Method used to place the Order to cover credit card processing fees.
    10. Limited Warranty. All Products are sold with their respective manufacturer’s warranties. Please note that warranty periods and services vary by manufacturer and Product. PACK-N-TAPE MAKES NO WARRANTIES REGARDING THE PRODUCTS AND ALL IMPLIED WARRANTIES, TERMS AND CONDITIONS (WHETHER STATUTORY OR OTHERWISE) ARE EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW. IN PARTICULAR, PACK-N-TAPE MAKES NO WARRANTY RESPECTING THE MERCHANTABILITY OF THE PRODUCTS OR THEIR SUITABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY RIGHTS AND WARRANTIES AGAINST LATENT DEFECTS. NO WARRANTIES APPLY TO PRODUCTS THAT HAVE BEEN SHIPPED OUTSIDE OF THE UNITED STATES OF AMERICA.
    11. Limitation of Liabilities. PACK-N-TAPE SHALL NOT BE LIABLE FOR LOSS OF PROFITS OR REVENUE, PROMOTIONAL OR MANUFACTURING EXPENSES, OVERHEADS, LOSS OF DATA, INJURY TO REPUTATION, PUNITIVE DAMAGES, OR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE RELATED TO A PRODUCT PURCHASE. YOUR RECOVERY FROM PACK-N-TAPE FOR ANY CLAIM SHALL NOT EXCEED THE LESSER OF THE PURCHASE PRICE PAID FOR THE AFFECTED PRODUCTS OR $100.00 USD IRRESPECTIVE OF THE NATURE OF THE CLAIM, WHETHER IN CONTRACT, TORT, WARRANTY, OR OTHERWISE. YOUWILL INDEMNIFY, DEFEND AND HOLD PACK-N-TAPE HARMLESS FROM ANY CLAIMS BASED ON (a) YOUR USE OF THE PRODUCT AND COMPLIANCE WITH THE PRODUCT DESIGNS, SPECIFICATIONS, OR INSTRUCTIONS, (b) MODIFICATION OF ANY PRODUCT, or (c) USE IN COMBINATION WITH OTHER PRODUCTS.
    12. Use of Products. (1) You acknowledge that any and all use of the Product is at your sole risk; (2) you agree that Pack-n-Tape is not liable, in whole or in part, for any claim or damage arising from your use of the Products; (3) you acknowledge and agree that all Products sold on the Pack-n-Tape website are intended for use in the lower forty-eight (48) states only; and (4) you agree to indemnify, defend and hold Pack-n-Tape harmless from and against any and all claims, damages, losses, costs, expenses and liabilities arising out of or in connection with such use of the Products.
    13. Force Majeure. Pack-n-Tape is not liable for failure to fulfill its obligations for any accepted Order or for delays in delivery due to causes beyond Pack-n-Tape’s reasonable control including, but not limited to, acts of God, natural or artificial disaster, riot, war, strike, delay by carrier, shortage of Product, acts or omissions of other parties, acts or omissions of civil or military authority, Government priorities, changes in law, material shortages, fire, strikes, floods, epidemics, quarantine restrictions, acts of terrorism, delays in transportation or inability to obtain labor, materials or Products through its regular sources, which shall be considered as an event of force majeure excusing Pack-n-Tape from performance and barring remedies for non-performance. In an event of force majeure condition, Pack-n-Tape time for performance shall be extended for a period equal to the time lost as a consequence of the force majeure condition without subjecting Pack-n-Tape to any liability or penalty. Pack-n-Tape may, at its option, cancel the remaining performance, without any liability or penalty, by giving notice of such cancellation to you.
    14. Age of Majority. Products may only be purchased by individuals who can form legally binding contracts under applicable law. All persons accessing the Services must be at least 18 years of age.

If we are not able to resolve any Dispute ourselves, you and Pack-n-Tape agree to resolve such Dispute through confidential binding arbitration as set forth below.
    3. Binding Arbitration. If you and Pack-n-Tape are unable to resolve a Dispute through informal negotiations, either you or Pack-n-Tape may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”) both of which are available at the AAA website www.adr.org. The determination of whether a Dispute is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as otherwise provided in this Agreement you and Pack-n-Tape may litigate in court to compel arbitration, stay proceeding pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.
    4. Waiver of Rights. You hereby agree that you understand the consequences of agreeing to binding arbitration under this Section, including giving up any constitutional rights to have the Dispute determined by a court of law or by a jury and any right that you may have under Article 13 of the State Bar Act to have a trial de novo by a court after nonbinding arbitration of a dispute concerning fees or costs; that discovery of information in arbitration may be limited; and that the arbitration decision will be final and binding, except to the limited extent that judicial review might be available. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER.
  10. MISCELLANEOUS
    1. Term. This Agreement is effective upon your acceptance and will continue in full force until terminated by you or us. You may terminate this Agreement at any time by immediately discontinuing all access to the Services. Termination or cancellation of this Agreement will not affect any right or relief to which we may be entitled at law or in equity. We reserve the right to terminate this Agreement at any time and for any reason without prior notice to you. Further, you agree that we will not be liable to you or any third-party for any termination or suspension of your access to the Services or any part thereof.
    2. Independent Contractors. You understand and expressly agree that you and Pack-n-Tape are independent contractors and not agents or employees of the other party. Neither you nor Pack-n-Tape has any right, power, or authority to act or create any obligation, express or implied, on behalf of the other party.
    3. Consent to Do Business Electronically. We use and rely upon electronic records and electronic signatures for the execution and delivery of this Agreement and any other agreements, undertakings, notices, disclosures or other documents, communications or information of any type sent or received in accordance with this Agreement and in performing our obligations and exercising our rights under this Agreement. Neither you nor Pack-n-Tape will prevent or inhibit in any way the other party from printing, saving, or otherwise storing electronic records sent or otherwise made available to the other party. You agree not to contest the authorization for, or validity or enforceability of, electronic records and electronic signatures, or the admissibility of copies thereof, under any applicable law relating to whether certain agreements, files, or electronic records are to be in writing or signed by you to be bound thereby. You will bear your own costs and expenses in conducting business electronically, and will undertake all steps necessary, including software, hardware, and other equipment upgrades and purchases, in order to be able to conduct business electronically.
    4. Equitable Relief. You agree that breach of the provisions of this Agreement would cause irreparable harm and significant injury to us which would be both difficult to ascertain and which would not be compensable by damages alone. As such, you agree that we have the right to enforce the provisions of this Agreement by injunction (without necessity of posting bond), specific performance, or other equitable relief without prejudice to any other rights and remedies we may have for your breach of this Agreement.
    5. Privacy. We collect, store, and use data collected from you in accordance with our Privacy Notice
    6. Entire Agreement. This Agreement and any hyperlinked policies and procedures constitute the entire agreement between you and Pack-n-Tape with respect to the subject matter hereof and supersede all prior agreements, both oral and written, with respect to the subject matter hereof. We may revise and update this Agreement from time to time, and will post the updated Agreement to the portal. UNLESS OTHERWISE STATED IN THE AMENDED VERSION OF THIS AGREEMENT, ANY CHANGES TO THIS AGREEMENT WILL APPLY IMMEDIATELY UPON POSTING. Although we are not obligated to provide you with notice of any changes, any changes to this Agreement will not apply retroactively to events that occurred prior to such changes. Your continued use of the Services will constitute your agreement to any new provisions within the revised Agreement.
    7. Waiver; Severability. Our failure to enforce any provision of this Agreement will not be deemed to be a waiver of our right to enforce them. If any term or provision of this Agreement will be held to be invalid, illegal, or unenforceable, the remaining terms and provisions of this Agreement will remain in full force and effect, and such invalid, illegal, or unenforceable term or provision will be deemed not to be part of this Agreement.
    8. Assignment. You may not assign, transfer, or sell (voluntarily or by operation of law) your rights or obligations under this Agreement, nor delegate your duties hereunder to any other person, without our prior written consent. Any purported assignment without our consent will be void and will constitute a breach of this Agreement. We may assign this Agreement or delegate or subcontract our obligations under this Agreement at any time.
    9. Survival. The provisions of this Agreement that by their content are intended to survive the expiration or termination of this Agreement, including, without limitation, provisions governing ownership and use of intellectual property, representations, disclaimers, warranties, liability, indemnification, governing law, jurisdiction, venue, remedies, rights after termination, and interpretation of this Agreement, will survive the expiration or termination of this Agreement for their full statutory period.
